The position is SeniorCorporate Counselin the AllianceManagement legal team of Sanofi. The position has global responsibilities andis based in Cambridge, MA, USA. The candidate will report to the Head of Legal– Alliance Management.
The candidate willbe primarily responsible for providing or coordinating legal support to Sanofialliance management activities related to its General Medicine and EmergingMarkets (“GEM”) Global Business Unit and Sanofi’s Cambridge-based R&Dactivities. Primary clients includealliance management, senior GEM and R&D management, business developmentand other support functions responsible for the conduct of activities governedby or related to GEM and R&D alliances. The candidate’s direct clients willbe the head of GEM Alliance Management and the alliance managers supportingCambridge-based R&D alliances.
As a member of theSanofi Legal Department, the candidate will also interact and coordinate withexpert legal teams for the Global Business Units, including businessdevelopment, research and development, trademarks, patents, industrial affairs,as well as external lawyers in order to provide or to coordinate the necessarylegal support in connection with alliances within his or her scope ofresponsibility.
The candidate willbe the legal subject-matter expert on Sanofi’s rights and obligations under allof the partnership, joint ventures, collaborations and other alliances in theSanofi Genzyme business, as well as certain alliances being conducted by theR&D organization. The candidatewill:
Provide strategic advice to the senior management of the GEM business and R&D organization on all legal matters within her/his area of responsibility;
Provide day-to-day legal support to the alliance management team in connection with the specific alliances for which she/he is responsible;
Draft, review and negotiate ancillary agreements and other documentation with Sanofi’s alliance partners and with third parties in connection with those alliances;
Insure smooth and efficient coordination with other areas of the legal function on matters impacting the alliances for which she/he is responsible, including patent preparation, prosecution and litigation, industrial affairs, R&D, investor relations/corporate communications, regional/affiliate legal issues and corporate/securities matters;
Manage, in coordination with alliance management, any dispute that may arise with alliance partners, including any dispute resolution escalation, arbitration or litigation; and
Engage and manage outside counsel when external expertise is required.
Some travel will be required.
- At least 8 years of experience working in private practice and/or in house
- Substantialexperience with both negotiating, supporting and advising on the conduct ofcollaborations, joint ventures and licenses in the biopharma sector
- Substantive knowledge of collaborationgovernance, and intellectual property licensing
- Substantial experience drafting complexagreements
- Experience advising clients on successfullymanaging dispute resolution; experience managing litigations, arbitrations andmediations
