Description/Job Summary

The Associate Director, Professional Responsibility and Risk Management (“PRRM ) supports the Director of the PRRM Group with the management, administration, and governance of specifically assigned functions within the PRRM Group, supporting the Firm's critical risk management function, acting as a resource, and managing functions regarding all areas of conflicts of interest and new client intake inherent in a large global law practice. The Associate Director facilitates new matter and new client intake, conduct conflict-of-interest research, accurately identifying potential conflicts for new clients, new business matters, lateral attorneys and paraprofessionals; preparing waivers and engagement letters; liaising with Partner s and clients to facilitate decision-making, and providing legal support and resolution for attorneys Firm-wide.


  • Respond to Partner Conflict inquiries on a Firm-wide basis; interface with Partners and Associates to confirm the status of existing or pending transactions and resolve identified conflict issues

  • Manage conflict research process and procedures ensuring potential conflicts are quickly and accurately identified and resolved and conflicts are cleared for new matters and new clients Firm-wide

  • Review and analyze conflicts of interest and monitor processes with respect to new clients and matters and lateral attorneys

  • Prepare conflicts waivers and engagement letters for identified conflicts issues; liaise with Partners and clients with respect to obtaining such conflicts waivers as necessary

  • Advise attorneys on conflicts rules and assist in adherence to such rules and Firm policies when drafting, reviewing and coordinating client engagement and conflict waiver letters

  • Supervise lateral lawyer intake process as it pertains to conflicts, screening and waivers

  • Assist with communicating Firm policies and procedures relating to conflicts and client intake and make recommendations for changes when appropriate

  • Providing training, supervision and guidance to attorneys and analysts and Firm personnel in conflict of interest rules and procedures as required by Director of PRRM

  • Assist in supervision of new client and new matter intake

  • Facilitate resolution of potential conflicts problems for attorneys Firm wide

  • Supervision of the establishment and maintenance of formal ethical screens

  • Develop expertise on conflicts rules and approaches in specific practice areas; possess and maintains knowledge of conflicts rules in New York; assist in projects on non-New York based conflicts rules

  • Monitor legal and regulatory changes and developments ; advise management and develop appropriate strategies

  • Responsible for overseeing the firm s restricted list and securities trading activities and conducting quarterly partner restricted list audits

  • Supervise the maintenance of the Firm s restricted list and the clearance of all purchases and sales of securities by Firm personnel and partners

  • Supervise daily,weekly and monthly client reports to partners

  • The PRRM Group prepares various daily, weekly and monthly client matter reports to the Partners

  • Perform other duties as assigned

Required Experience

  • 5-10 years of legal experience as a law firm or in-house attorney required

  • Proficient knowledge of large firm practice areas: financial organizations -banking and capital markets, private equity firms and other business organizations

  • Ability to identify parties involved, define relationships (client relationships and adverse parties) and resolve actual and potential conflicts of interest within various types of legal transactions

  • Proficiency in internet research, Hoovers, Dun & Bradstreet, Thomson and other corporate databases

  • Ability to research corporate ownership/SEC filings to determine shareholders and substantial owners of target companies and other adverse parties

  • Ability to handle multiple complex situations, organize, prioritize, plan, adapt quickly to changes in workflowand multi-task work activities

  • Demonstrated good business judgment and analytical skills are essential

  • Ability to research and understand complex corporate relationships and determine how proposed relationship relate to the Firm s existing engagements

  • Ability to work independently while using sound judgment, initiative, and discretion

  • Ability to work effectively with all levels of personnel in a global market with tact and diplomacy

  • Ability to communicate professionally, clearly, concisely, and diplomatically both verbally and in writing and articulate legal relationships and the nature of representations

  • Ability to analyze and summarize conflict situations, articulate potential issues, and suggest resolutions to attorneys as required

  • Proven analytical and organizational skills with the ability to provide a quality, accurate, and efficient work product in a high-volume environment.

  • Strong project planning, management and execution skills

  • Ability to learn and utilize specialized internal conflict checking software and multiple software applications and workflow processes of various departments

  • Ability to apply both logical and common sense understanding to carry out a variety of instructions furnished in written, verbal, and diagram forms.

  • Must be flexible in order to respond quickly and positively to shifting demands
