SAP is seeking a Senior Legal Counsel to support its global Payment Services (financing) line of business. The Payment Services organization assists the Field Sales organization by offering innovative payment solutions that meet the needs of our customers and partners. Support of the Payment Services LoB includes transactions involving On Premise, Cloud and other SAP products and services. Prime responsibilities include drafting and negotiating multiple complex lending partner, customer and other partner agreements to help achieve SAP’s business growth strategies. You will act as a prime contact for the relevant line of business teams and provide legal advice and counseling on a wide variety of matters, including lending contracts, intellectual property, licensing, services transactions, and license compliance matters. You will also coordinate with regional/local internal legal representatives to provide legal support for the various regional and local line of business teams. You will act as a point of escalation and expert for these internal legal teams for complex issues relating to contracts, deals, intellectual property and risk. You will work with the legal operations team to develop global contract templates, playbooks and standards in coordination with the respective internal business teams, and ensure their efficient enablement, deployment and updating in concert with SAP contract management and automation systems.
This position requires independent thinking with strong communication, negotiation and analytical skills, superior business judgment, the ability to resolve complex issues in an effective and solution-oriented manner, and the ability to manage multiple projects and transactions at the same time. You will need to demonstrate the ability to draft and negotiate complex agreements, work with sales professionals, pricing and revenue recognition teams, and others, in a fast paced environment. The ability to work with a team across a wide organization is critical. This position spends a significant amount of time in customer and partner facing negotiations (SAP office and on-site at customer locations as required). Experience in commercial lending and the software industry is strongly preferred; international experience in those substantive areas preferred.
Requires a JD degree, active membership in at least one state bar and a minimum of 6-10 years of related experience.
Preferred location: SAP offices in Newtown Square, PA, or Palo Alto, CA
Relocation fees will not be paid by company.
Position Duties and Responsibilities:
Support of Internal Line(s) of Business and/or Practice Area(s) – Support SAP Payment Services (financing) business leaders and teams on various issues related to such areas. Support might include overseeing outside counsel, working on a matrix team with the business, helping to develop/support new programs etc.
Work directly with customers and partners to prepare, negotiate and draft contracts. Responsible for negotiating and resolving contract issues in all company lines of business, particularly in the Payment Services (financing) area, but also including without limitation licensing, cloud, services and development agreements. Work closely with internal Contracts, Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process. Understand internal contract tools and processes, including contract quoting system, contract management system, etc. Work with Revenue Recognition team to ensure final business and contract terms to not cause revenue deferrals.
Act as global lead and point of escalation and knowledge base for internal legal team on complex contract, deal and intellectual property issues.
Internal Customer Support: interface with sales, services account teams, their management and other lines of business representatives to provide support and training as well as knowledge transfer. Advise personnel of the legal ramifications of past and proposed actions, and formulate solutions to problems. Anticipate problems and initiate actions to resolve them using professional qualifications and experience and in accord with company policies and procedures.
At direction of General Counsel or Assistant General Counsel, collaborate with legal colleagues (global and local) and relevant F/A functions with respect to creation of new or updated programs, development of contract templates, manuals and other materials in support of such programs in accord with SAP policy and procedure, while mitigating risk to the company and achieving regional/global consistency
Juris Doctor - Graduation from A.B.A. accredited law school
Preferred: Commercial lending; intellectual property expertise and complex transaction experience in the areas of software licensing, Cloud, professional services, e-contracts and delivery of associated services.
Active membership in at least one state bar
At least 4 years experience with software/Cloud licensing
